Welcome to CardSpring. Our service provides a Website and API that enable software application developers, merchants, financial institutions and others to easily create, deploy, and manage credit and debit card-linked applications and respond to payment events.
By using our service,, including all related content, documentation, code and materials (together, the “API”), or the CardSpring website cardspring.com (“Website”), you confirm that you understand, agree with and accept these Terms of Service. If there is a conflict between these Terms of Service and a signed agreement between you and CardSpring, the signed agreement will control.
The terms “you,” “your,” and “yours” when used in these Terms of Service refer to software application developers, financial institutions and other users of our API and Website. The terms “Company,” “we,” “us,” and “our” refer to CardSpring.
We built CardSpring from the ground up to provide secure services, and we are PCI DSS Level 1 certified, the same standard used by global banks and financial institutions. Please read our Privacy and Security Policy to learn more about our security practices.
Limits on your use of our Website and API
While we encourage your creative use of our Website and the CardSpring API, we require that you comply with all applicable laws and regulations in connection your use of the API and Website and that you meet the following conditions:
Only use the CardSpring service for its intended purpose, to create credit and debit card-linked applications
Do not enable or encourage others to sell, rent, lease, sublicense, redistribute or syndicate access to the CardSpring service to any third party without prior written approval from CardSpring
Do not remove or alter any proprietary notices or marks on the service
Do not use the service to monitor the functionality of CardSpring’s products and services or for any competitive purposes
Do not use the CardSpring trade name, logos or trademarks to create a sense of endorsement, sponsorship or false association with CardSpring or use the CardSpring trade name, logos or trademarks as part of the name of your company or your company’s software application, products or services
Do not use the CardSpring service to create or distribute SPAM or violate consumer privacy
Do not confuse or mislead consumers about the purpose of your software application
Ownership of the CardSpring Website and API
You understand and agree that CardSpring (and/or its licensors) owns all right, title and interest in and to the CardSpring Website and API. Accordingly, you agree not to use CardSpring’s trade names, trademarks, service marks, logos, domain names or brand features without our express signed written consent.
Links to third party websites
The CardSpring Website and API include links to third-party websites. You understand and agree that CardSpring is not responsible for any loss, monetary or otherwise, you experience as a result of using a third party website.
Responsibility for your applications
You understand and agree that CardSpring has no liability or responsibility for any direct or indirect, costs, losses and damages, incurred by you, your customers, shareholders, subsidiaries, vendors, agents, contractors or representatives or any third party, as a result of software applications developed by you or on your behalf.
CardSpring use of your information
You grant CardSpring permission to use information about your Website and API usage experience to enable us to provide you with access to the Website and API and update and maintain your data and information.
Disclaimer of warranties
CardSpring makes no warranties or representations that use of the CardSpring Website or API will increase or result in sales, revenue, customers or profits to you. Moreover, CardSpring cannot promise that the CardSpring Website or API will be uninterrupted or free of errors. Accordingly, the CardSpring Website and API are provided “as-is” and “as-available” and CardSpring expressly disclaims all warranties and conditions of any kind, including without limitation, the implied warranties of merchantability, fitness for a particular purpose and non-infringement.
Limitation of liability
You understand and agree that neither CardSpring nor its subsidiaries, affiliates or licensors will be liable to you for any direct, indirect, incidental, special, consequential or punitive damages that you may incur as a direct or indirect result of your use of the Website or API.
Modification of terms of service
We reserve the right to modify these Terms of Service. Any changes in these Terms of Service will become effective once we post them on the Website. These Terms of Service were updated as of the date set forth below.
Termination of use
We reserve the right to terminate your use of the Website or API if we determine (in our sole discretion) that you have violated these Terms of Service.
You will indemnify, defend, and hold CardSpring, its subsidiaries, affiliates, officers, and employees, harmless from any and all claims, damages, losses, liabilities, actions, judgments, costs, and expenses (including reasonable attorneys’ fees) brought by a third party arising out of: (a) your use of the CardSpring Website or API in violation of these Terms of Service; or (b) your software application. You will assume control of the defense and settlement of any claim subject to indemnification by you. CardSpring may, at its own expense, take over control of the defense and settlement of any such claim. You agree not to settle any such claim against CardSpring without CardSpring’s prior written consent.
Resolution of disputes
Any claim or dispute between you and CardSpring connected to these Terms of Service, the API, the Website or the CardSpring services will be resolved exclusively by final and binding arbitration conducted in Palo Alto, California, by the American Arbitration Association (the “AAA”) pursuant to the AAA rules and procedures. One arbitrator will be appointed pursuant to the AAA Rules and will apply California law. If this arbitration clause is rendered invalid, then any claim or dispute between Developer and CardSpring connected to these Terms of Service will be governed by California law without regard to its conflict of law provisions and you and CardSpring agree to submit to the exclusive jurisdiction of the courts located within the County of San Mateo, California.
Nature of relationship
These Terms of Service do not create or imply any partnership, agency or joint venture between you and CardSpring.
